On May 21, 2014, LIPL executed a sub-lease deed with its newly created 100 per cent owned subsidiary Nobility Estates Pvt Ltd. The company was incorporated by – Shakti Nath (0.01 pc) and Logix Infradevelopers Pvt Ltd (LIPL 99.99 pc). On June 7, 2014, STG Softek Pvt Ltd and ATS Housing Pvt Ltd took over the entire shareholding of Nobility (see table C-A1). A lot of residential towers have come up at the site. The project is being promoted as Le Grandiose. InfraLive has found that Nobility had entered into an agreement on February 11, 2014 with Getamber Anand and ATS Infrastructure, through which the powers of appointment of two directors and chairman in the company was given to ATS group. Based on this agreement, the Nobility offered and issued 6,580 listed Secured Non-Convertible Debentures (Domestic NCDs) of the face value of Rs 10 lakhs each. It was therefore evident that control of the Logix Infra over Nobility was passed onto ATS group on February 11, 2014 and Nobility was no longer the subsidiary of Logix Infra as on February 11, 2014 in terms of section 2 (87) of the Companies Act 2013. Therefore, Shakti Nath, director of LIPL and Nobility had misrepre- sented and submitted patently false affidavit before ROC, Kanpur regarding the status of Nobility as a wholly owned subsidiary of LIPL in April 2014 so as to obtain a certifi- cate of subsidiary in order to avail the exemption from stamp duty under the State Govt Notification. Based on the misrepresentation and false affidavit submitted, RoC, Kanpur issued a letter to the company which was fraudulently used to obtain the approval of the Noida Authority for sub division of the Sport City Plots SC-01/C, SC- CA1 CA1 C-A1.
